Affiliate Program Terms & Conditions

1. Agreement Overview

By joining our Affiliate Program (“Program”), you (“Affiliate” or “You”) agree to the following Terms & Conditions. Failure to comply, as determined by us in our sole discretion, may result in termination of your account and forfeiture of any commissions.

2. Representations and Warranties

You represent and warrant that:

You are over the age of 18 and are legally authorized to accept and capable of accepting these Terms & Conditions.
You will submit true, complete, current information and keep all information up-to-date;
You are responsible for all activity and/or use on your account.
You are exclusively operating and/or advertising in jurisdictions where the distribution and/or sale of adult material is NOT forbidden.
Your participation in the Program is contingent on your compliance with laws and ethical standards applicable to your business, as well as these Terms & Conditions.

3. Commission Structure

Affiliates earn a commission on all referred users’ payments. Commission earnings are lifetime-based, meaning current Affiliates continue earning as long as the referred user remains active. Terminated Affiliate accounts are not entitled to further commissions.

4. Payment Terms

Payouts are sent within NET 15 days after each billing period.
Each billing period consists of a full calendar month.
Payment methods include PayPal, Cryptocurrency, or Wire Transfer.
Affiliates must submit their payout details before the 1st of the month to be eligible for payout for a given billing period.
We require full name and postal address for self-billing purposes. This information must be updated in the affiliate profile or provided to our team before the 1st of each month.
All personal data provided is kept strictly confidential and will only be used for generating self-billing invoices.
Minimum payout threshold is set at $100 USD.

5. Prohibited Promotional Methods

All marketing through the Affiliate Program must be lawful and ethical. The following are strictly prohibited:

🚫 Brand Bidding on Google Ads & Other Paid Search

Affiliates may not bid on our brand name, its variations, or misspellings in Google Ads or any paid search platforms.
This includes exact match, phrase match, or broad match modifiers targeting our brand name.

🚫 Incentivized Traffic

Affiliates may not use any form of cashback, rewards, or incentive-based traffic (e.g., “Get $X for signing up through my link”).

🚫 Falsely using EverAI’s or Candy.ai’s name or claiming to act on our behalf

Affiliates require our explicit, written consent before launching any marketing, PR, or similar campaigns under our name, or using our name when speaking to journalists or others who may publish news stories or information about the company or product.
Affiliates’ work is exclusively on their own behalf. Affiliates may not act or claim to act on EverAI’s or Candy.ai’s behalf. This prohibition includes but is not limited to launching marketing campaigns under our name and/or falsely representing that the content of marketing campaigns has been authorized by us.

🚫 Illegal, offensive, or harmful content

Affiliates may not promote or market on websites or any online properties containing illegal, offensive, or harmful content (e.g., child abuse or exploitation, hate speech, self-harm content, violence, sexual violence, leaked content, non-consensual intimate imagery, deepfakes).
Affiliates may not promote or market on websites that contain or advertise with terms associated with sexualizing minors (e.g., “pre-teen,” “lolita,” etc.).
Your marketing through the Program must not infringe upon, misappropriate, or otherwise violate any copyright or intellectual property rights of any person or entity. This prohibition includes, for example, scraping, copying, or republishing copyrighted content belonging to third parties.
Your marketing through the Program must not otherwise violate or breach any duty toward, or rights of, any person or entity.

🚫 Other Restricted Content & Practices

Affiliates may not promote or market through spam, content locking, or deceitful tactics (e.g., email spam, forum spam, misleading redirects, unauthorized landing page modifications).
Affiliates may not use competitors’ or other companies’ names or intellectual property in a way that suggests affiliation, endorsement, or that otherwise infringes upon intellectual property rights.
Domain names that incorporate a competitor’s brand name are prohibited.
Affiliates may not place marketing material on online properties likely to be viewed by children.
Any online properties where marketing material is placed must comply with local age verification requirements.
Affiliates must comply with applicable anti-spam laws (e.g., CAN-SPAM Act, CASL) and industry regulations.
You may not disparage our brands or otherwise portray us in a negative or misleading light.
Non-functional or inactive URLs may also be considered, in our sole discretion, to violate these Terms & Conditions.

6. Termination & Forfeiture of Commissions

We reserve the right to deactivate or terminate your account if it has engaged in practices that are prohibited under these Terms & Conditions or otherwise unlawful.
In appropriate cases, we may deactivate or terminate your account with no notice to you pending further investigation.
Affiliates violating these terms forfeit any unpaid commissions.

7. Confidentiality & Compliance

Affiliates are prohibited from publicly disclosing their commission rates or earnings.
Affiliates must comply with all applicable laws and regulations, including data protection laws and advertising guidelines.
We actively monitor traffic and sales for potential fraud. If fraudulent activity is detected, payouts will be withheld pending investigation.

8. Program Changes

We may update these Terms & Conditions at any time. Affiliates will be notified of significant changes.
Continued participation in the Program constitutes acceptance of any updates.

9. Indemnification

You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an “Action”) brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of (a) your participation in the Affiliate Program, (b) any and all marketing activities conducted, including any use of affiliate management platforms, in connection with your participation in the Affiliate Program, or (c) your noncompliance with or breach of these Affiliate Terms and Conditions and/or applicable laws, regulations, or legal obligations. We will: notify you in writing within thirty (30) days of our becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.

10. Disclaimers; Limitations of Liability

Disclaimer of Warranties. WE AND OUR AFFILIATED COMPANIES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE AFFILIATE PROGRAM OR ANY PLATFORM MADE AVAILABLE BY US FOR ANY PURPOSE. ANY PLATFORM, PRODUCTS AND/OR SERVICES MADE AVAILABLE IN CONNECTION WITH THE AFFILIATE PROGRAM MAY NOT BE AVAILABLE AT ALL TIMES AND - TO THE EXTENT PERMITTED BY LAW - ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO ANY PLATFORMS, PRODUCTS AND/OR SERVICES MADE AVAILABLE IN CONNECTION WITH THE AFFILIATE PROGRAM, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS YOU HAVE ACTUALLY EARNED FOR THE RELATED CUSTOMER TRANSACTIONS IN THE TWELVE MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.
